These Terms & Conditions govern the use of this website and, where applicable, the provision of services, digital products, and other offerings by Stichting Marlin Yard under the Marlin Yard name. Stichting Marlin Yard also operates www.marlinyard.org, which is subject to its own applicable terms.

2. Scope and Applicability

These terms apply to visitors and to customers who enter into an agreement with Marlin Yard, unless different terms are expressly agreed in writing. Specific products, platforms, subscriptions, licences, or projects may have additional terms. Where applicable, these will be presented before an agreement is concluded. Mandatory consumer protection laws take precedence over any conflicting provision in these terms.

3. Our Activities

Marlin Yard explores, develops, and supports activities including:

  • Business and organisational advisory.
  • Digital products and platforms.
  • Artificial intelligence and automation concepts.
  • Product development and digital transformation.
  • Commercial ventures and partnerships.
  • Licensing, customisation, and potential white-label solutions.

Some initiatives are operational, while others are still being researched or developed. Descriptions of concepts or initiatives in development do not constitute a promise that a particular product, feature, or service is currently available or will be launched.

4. Information on the Website

We aim to provide accurate and current information, but website content may change as projects develop. General information on the website does not constitute a binding offer unless expressly stated. The specific scope, price, availability, delivery arrangements, and conditions of a product or service will be confirmed before an agreement is concluded.

5. Quotations and Agreements

Where services or products require an individual quotation, an agreement is formed when the parties accept the relevant offer in accordance with the stated acceptance procedure. Quotations may include project-specific conditions, deliverables, timelines, payment arrangements, and responsibilities. Any changes to an agreed scope should be confirmed between the parties.

6. Prices and Payments

Applicable prices, taxes, payment methods, and payment deadlines will be communicated before an agreement is concluded. Unless otherwise stated, prices offered to consumers will include applicable VAT.
Business quotations will indicate whether prices include or exclude VAT.
Payment obligations, invoicing arrangements, and any recurring charges will be specified in the relevant offer or agreement.

7. Digital Products and Services

Digital products and services may be subject to technical requirements, usage restrictions, maintenance, updates, and availability conditions. Any applicable access rights, licence periods, support arrangements, and service limitations will be specified in the relevant product or service terms. We do not guarantee uninterrupted availability unless a specific service level has been expressly agreed. Nothing in these terms excludes rights or remedies that cannot lawfully be excluded.

8. Intellectual Property

Unless otherwise agreed, intellectual property rights in the website, original content, software, designs, concepts, trademarks, and other materials remain with Stichting Marlin Yard or the relevant rights holders. Use of the website does not grant ownership of these rights. Customers receive only the usage rights expressly provided in the applicable agreement or licence.

9. Licensing and White-Label Solutions

Certain digital solutions may be available for licensing, adaptation, or white-label use. Availability depends on the particular product, its development stage, applicable third-party rights, and the proposed arrangement. Any licensing or white-label agreement must separately define the permitted use, branding, intellectual property rights, fees, duration, support, maintenance, and termination conditions. No licence or right to rebrand or redistribute a product is granted solely by visiting this website or submitting an enquiry.

10. Partnerships and Collaboration

Expressions of interest, discussions, or proposals do not automatically establish a partnership, joint venture, agency relationship, or other binding arrangement. Any formal collaboration will be governed by separately agreed terms. Confidentiality obligations should be expressly agreed where sensitive business information is to be exchanged.

11. Consumer Rights

Consumers may have statutory rights concerning information, conformity, cancellation, withdrawal, refunds, and remedies. For agreements concluded at a distance, a statutory 14-day withdrawal period may apply, subject to the conditions and exceptions established by law.
Where a withdrawal right applies, the consumer will receive the legally required information and instructions before concluding the agreement. Any legally permitted exception, including certain digital-content or service situations, will only be relied upon where the applicable legal requirements have been met. These terms do not limit mandatory consumer rights.

12. Customer Responsibilities

Customers and users must use our products and services lawfully and in accordance with any applicable usage conditions. They must not knowingly interfere with the security, integrity, or availability of our systems or infringe the rights of others. Additional responsibilities may apply under specific product or service agreements.

13. Liability

Each party remains responsible for its obligations under the applicable agreement and the law.
Any project-specific limitations of liability must be expressly agreed and will apply only to the extent permitted by law. Nothing in these terms excludes liability where exclusion is prohibited, or restricts mandatory consumer rights.

14. Privacy and Personal Data

Personal data collected through this website is handled in accordance with our Privacy Policy. Where a service involves processing personal data on behalf of a customer, appropriate data processing arrangements may be required.

15. Changes to These Terms

We may update these terms from time to time. Changes to an existing agreement will only apply where permitted by law and the applicable contractual arrangements. The latest general version will be published on this website.

16. Applicable Law and Disputes

These terms are governed by Dutch law, without prejudice to mandatory consumer protection rules that may apply. We encourage customers to contact us first to discuss any complaint or dispute. Disputes will be submitted to a competent court in accordance with applicable jurisdiction rules. Mandatory consumer jurisdiction protections remain unaffected.
